2. Subject of these Terms and Conditions

These terms and conditions («Terms») apply to the access, browsing and use of the Web Site by any person accessing and/or using the Web Site. By accessing or using the Site in any way, you are bound by these terms and conditions.

3. Use of the Web Site

You are fully responsible for your access to the Web Page and for the correct use of the same, which is subject to the applicable legislation in Spain (whether national or international), as well as to the principles of good faith and public order.

You are obliged to make reasonable use of the Web Page, its contents and functions, in accordance with the possibilities and purposes for which this Web Page and its contents have been designed. We inform you that the access or use of the Web Page for illegal or unauthorized purposes (with or without profit) is strictly prohibited and, therefore, any consequence derived from such illegal or unauthorized purposes will be your sole responsibility, and you are obliged to hold COESSIO harmless from any damage suffered by COESSIO itself or by third parties claiming such damages from COESSIO.
In particular, the following actions, among others, are prohibited:

• Use any technical resource, whether analytical, digital or technological by which any person (including You), can benefit from the contents and functions of the Web Page, directly or indirectly.
• Insert in any website, social network or platform (such as computer or mobile applications), a link, hyperlink or any similar link that redirects to the contents and functions of the Website without having obtained prior written authorization from COESSIO.
• Introduce computer viruses, defective files or host, store, distribute or share any other material or computer software that may cause damage or alterations to the contents, programs and systems of the Web Page.
• Carry out any action that may overload, disable or affect the proper functioning of the Website.
• Use or resell the contents of the Website. This includes the use of the contents of the Web Page for text and data mining, which is expressly prohibited by these Terms.

• In the event that the Web Site allows You to store, post or upload any content to the Web Site, it is prohibited to store, post or upload illegal content to the Web Site or content that infringes third party rights.

• Creating a false identity, providing and/or using false or inaccurate data or using information relating to another natural or legal person.

4. Exemption from liability

COESSIO shall not assume any liability whatsoever, either directly or indirectly, arising from improper use of the Web Site by you or any other user. The user who has made an improper use of the Web Page will assume in any case and exclusively any responsibility for the consequences, damages or actions that may result from the access or use of the Web Page by him/her, either against COESSIO or against any third party.

COESSIO provides access to the Web Site and its content using the technical means at its disposal to do so. You accept that there may be an interruption in access to the Web Site due to specific needs, failures beyond the control of COESSIO, maintenance, overloads, etc. COESSIO cannot be held liable for any interruption of access to the Web Site.

COESSIO may make corrections, improvements or modifications to the content and/or functions of the Web Site, without such corrections, improvements or modifications giving COESSIO any right to claim or receive any compensation or any kind of acknowledgement of liability on the part of COESSIO. COESSIO is not responsible for damages of any kind that may arise from the availability and technical continuity of the Web Page and its contents. Likewise, COESSIO may suspend or interrupt access to the Web Page and its contents, temporarily or permanently, at any time and without prior notice. Such suspension or interruption shall not entitle users to any claim whatsoever. After such suspension or interruption, the prohibitions of use of the contents set forth in these Terms and Conditions shall remain in force.

COESSIO assumes no responsibility for the contents and information hosted on third party websites.

The exemption from liability included in this section covers all types of damages, including, but not limited to, consequential damages and lost profits.

5. Ownership of the Web Site and its contents

COESSIO is the owner (or licensee) of all intellectual and industrial property rights or rights of analogous nature on the Web Page and all its contents. We refer, without exclusion and without limitation, to each and every one of the photographs, videos, drawings, illustrations, information, data, calculations, texts, articles, logos, trademarks, distinctive signs, icons, images, design and image («look and feel»), video files, audio files and databases that may be part of or accessible through the Web Page. In particular, COESSIO is the owner (or licensee) of the software (source code and object code) of the Web Site.

Neither you nor any third party may exploit or make commercial or non-commercial use, directly or indirectly, in whole or in part, of any of the contents (images, texts, designs, indexes, forms, etc.) that make up the Web Page or are accessible through it without the prior written authorization of COESSIO. All trademarks and logos displayed on the Web Site are the exclusive property of COESSIO (or a third party with whom COESSIO has reached an agreement), whether or not they are registered. The information available on the Web Site and/or the information provided directly to you by COESSIO is the property of COESSIO and is considered confidential information. You agree not to disclose such information to third parties and to take all necessary steps to preserve such confidentiality. You may only use such information for internal non-commercial purposes and may not use it for any other purpose.

7. Information available on the website

You acknowledge that the information available on the Web Site and information that may be provided to you by COESSIO does not constitute advice of any kind by COESSIO to you, nor does it imply the creation of a professional relationship between you and COESSIO. COESSIO makes it available to You «as is», i.e. without any warranty as to its accuracy, truthfulness or correctness. Thus, you are solely responsible for your use of the information available on the Web Site or any other information COESSIO may provide to you.

COESSIO may in some cases process personal data of those who access the Website as indicated in the Privacy Policy.

9. Validity of these Conditions

If any section of these Conditions is declared null and void or unenforceable, such declaration shall not affect the remaining sections of these Conditions, which shall continue to be valid and in force.

10. Modification of these Conditions

COESSIO reserves the right to modify these Conditions at any time. To do so, it will suffice to publish the new Conditions on the Web Page. In this way, every time you or a third party accesses, navigates and/or uses the Web Page, the Conditions that are published on the Web Page at that moment will be applicable.

11. Jurisdiction

COESSIO is confident that any dispute between you and COESSIO can be resolved amicably. If this is not possible, either party may bring the dispute before the courts of the city of Bilbao or the courts of the city of Houston, Texas, as applicable, depending on whether you have had a relationship with COESSIO.
